SDLT, VAT and Commercial Property Transactions

Tax treatment can materially affect the overall cost and structure of a commercial property transaction.

For property in England, Stamp Duty Land Tax may apply to acquisitions of non-residential property. Current HMRC guidance provides different calculations for freehold transactions, lease premiums and rent payable under new non-residential leases.

Most reportable land transactions require an SDLT return within 14 days of the effective date, even where no SDLT is ultimately payable in some circumstances.

VAT can also require careful consideration in commercial property transactions, particularly where the property is subject to an option to tax.

We identify tax issues arising within the legal transaction and, where specialist tax advice is required, work alongside the client's accountant or tax adviser.

Important: SDLT applies to relevant property transactions in England and Northern Ireland. Different land transaction taxes operate in Wales and Scotland.

The Commercial Property Transaction Process

Although every transaction is different, a typical acquisition may involve the following stages.

Step 1 — Heads of Terms and Initial Review

The commercial terms are established and we identify the legal structure of the proposed transaction.

Step 2 — Contract Documentation

The seller's solicitor issues the contract package and supporting title documentation.

We review the proposed contract and negotiate amendments where required.

Step 3 — Due Diligence

We investigate title, order or review appropriate searches, raise enquiries and examine relevant property documentation.

Step 4 — Finance and Third-Party Requirements

Where funding is involved, lender requirements are addressed.

Other third-party consents or documentation may also need to be dealt with.

Step 5 — Report to the Client

Before exchange, we explain the material legal findings and contractual obligations so that the client can make an informed commercial decision.

Step 6 — Exchange of Contracts

Once due diligence, funding and contractual matters are sufficiently resolved, contracts can be exchanged.

At this point the parties will ordinarily become legally committed to complete in accordance with the contract.

Step 7 — Pre-Completion

We prepare for completion, undertake appropriate pre-completion checks and coordinate funds and documentation.

Step 8 — Completion

The transaction completes and ownership or the relevant property interest transfers in accordance with the contractual arrangements.

Step 9 — Post-Completion

Post-completion work may include SDLT requirements and registration at HM Land Registry where applicable.
